Please read these Terms and Conditions (“Terms”) carefully before using ProClipIt.com or the ProClipIt desktop application (collectively, the “Service”) operated by ProClipIt (“we,” “us,” or “our”).
By accessing or using the Service, purchasing credits, or creating an account, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Use of the Service
1.1 Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.
1.2 Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and account credentials
- Notify us immediately of any unauthorized access to or use of your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.
1.3 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Upload images that contain illegal content, infringe third-party intellectual property rights, or violate any applicable law
- Attempt to reverse engineer, decompile, or extract the underlying AI models or algorithms used by the Service
- Use automated scripts, bots, or other means to access the Service in a manner that exceeds normal usage
- Resell, sublicense, or redistribute the Service without our express written permission
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Attempt to gain unauthorized access to any portion of the Service or its related systems
2. Credits and Payments
2.1 Credit System
The Service operates on a prepaid credit system. Credits are purchased in advance and consumed each time an image is processed. The number of credits required per image may vary based on image complexity, resolution, or the processing options selected.
2.2 Purchasing Credits
Credits may be purchased through the Service using accepted payment methods. All prices are listed in US Dollars (USD) and are subject to change at our discretion. We will provide reasonable notice of price changes where possible.
2.3 All Sales Are Final — No Refunds
ALL PURCHASES OF CREDITS ARE FINAL. WE DO NOT OFFER REFUNDS, RETURNS, OR EXCHANGES OF ANY KIND, INCLUDING FOR UNUSED CREDITS, PARTIALLY USED CREDIT PACKAGES, OR CREDITS REMAINING AT THE TIME OF ACCOUNT CLOSURE.
By completing a credit purchase, you acknowledge and agree that:
- You have reviewed the Service and are satisfied it meets your needs before purchasing
- Credits have no cash value and are non-transferable
- Credits cannot be exchanged for cash, other services, or any other form of compensation
- We are not responsible for credits consumed due to processing errors caused by the quality, format, or content of images you upload
If you believe credits were consumed due to a verified technical error on our part, you may contact support at support@proclipit.com. We will investigate and, at our sole discretion, may issue replacement credits. This does not constitute an obligation to refund or a modification of our no-refund policy.
2.4 Credit Expiration
Credits do not expire as long as your account remains active. We reserve the right to introduce expiration policies in the future with no less than 60 days’ advance written notice to affected users.
2.5 Taxes
You are responsible for any applicable taxes, duties, or levies associated with your purchase. We will collect applicable taxes where required by law.
3. Intellectual Property
3.1 Your Content
You retain all intellectual property rights to the images you upload to the Service. By uploading images, you grant us a limited, non-exclusive, royalty-free license to process those images solely for the purpose of providing the Service to you. We do not claim ownership of your content and do not use your images to train our AI models.
3.2 Our Technology
The Service, including its software, algorithms, AI models, interfaces, branding, and all related intellectual property, is owned exclusively by ProClipIt and is protected by copyright, trade secret, and other applicable laws. Nothing in these Terms grants you any right, title, or interest in our technology beyond the limited right to use the Service as described herein.
3.3 Output Files
Clipping paths and processed output files delivered to you are yours to use freely for commercial and personal purposes. We make no claim to the processed outputs generated from your images.
4. Service Availability and Modifications
We strive to maintain consistent availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. In the event of permanent discontinuation of the Service, we will provide at least 30 days’ notice and will make reasonable efforts to allow you to use your remaining credits prior to closure.
5. Disclaimers and Limitation of Liability
5.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT OUTPUT WILL MEET YOUR SPECIFIC REQUIREMENTS.
5.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROCLIPIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT OF CREDITS PURCHASED BY YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
6. Indemnification
You agree to indemnify, defend, and hold harmless ProClipIt and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) the content of images you upload to the Service.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, available at proclipit.com/privacy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.
8. Termination
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or engaged in fraudulent or harmful conduct.
You may terminate your account at any time by contacting us at support@proclipit.com. Upon termination, your right to use the Service will immediately cease. Any remaining credits in your account at the time of termination are forfeited and are not subject to refund, consistent with our All Sales Are Final policy in Section 2.3.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you by email or a prominent notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
If you do not agree to the updated Terms, you must stop using the Service.
11. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProClipIt regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.
- No Agency: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and ProClipIt.
